This Terms of Use Agreement (the "Agreement") establishes a legally binding understanding between Simple Loom, a design agency based in Goa, India, operating without formal business registration ("Simple Loom" or "the Agency"), and the client, whether an individual or representing an entity ("Client"), regarding access and usage of Simple Loom's website: [https://simpleloom.in/] (the "Website"), and any associated media forms, channels, mobile websites, or mobile applications linked or connected to it.

1. Ownership of Intellectual Property

Unless explicitly stated otherwise, the Website, its source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (collectively referred to as the "Content")—including trademarks, service marks, and logos (the "Marks")—are the property of Simple Loom, protected by copyright and trademark laws. The Content and Marks are provided "As-Is" for informational and personal use only. Without express prior written permission from Simple Loom, no part of the Website, Content, or Marks may be exploited for any commercial purpose.

2. Ownership of Materials

While Simple Loom retains ownership of Submissions (as detailed in Paragraph 4 - "Client Feedback"), all design and source files created on the Client's behalf ("Projects") belong solely to the Client. If legal circumstances would make Simple Loom the owner of a Project, Simple Loom irrevocably and perpetually assigns its entire interest in the Project to the Client. Client affirms that materials provided during the design process do not infringe on third-party rights. Simple Loom reserves the right to share Client's design work publicly unless otherwise agreed upon as stated in section 16 of this document.

3. Third-Party Fonts

If a Project includes Third-Party Fonts requiring a commercial license, Simple Loom will notify the Client in writing. The Client is responsible for purchasing licenses for such Third-Party Fonts. In the event of non-compliance, the Client assumes all responsibility for consequences.

4. User Representations

By using the Website, the Client represents and warrants that they have the legal capacity, agree to comply with these Terms of Use, and are not a minor. The Client commits not to access the Website through non-human means, use it for illegal purposes, or violate any applicable laws.

5. Prohibited Activities

The Client agrees not to use the Website for unauthorized purposes, such as creating databases, circumventing security features, engaging in unauthorized framing or linking, or competing with Simple Loom. Prohibited activities include harassing Simple Loom's personnel, interfering with the Website's operation, and violating applicable laws.

6. Client Feedback

Client acknowledges that any Submission becomes the sole property of Simple Loom. Simple Loom is not obligated to keep Submissions confidential and may use them for any lawful purpose without acknowledgment or compensation to the Client, except as granted under Paragraph 2 ("Ownership of Materials").

7. Management and Oversight

Simple Loom reserves the right to monitor the Website, taking legal action in response to violations. Simple Loom may restrict or deny access to the Website at its discretion without notice or liability. Decisions related to Website management are at Simple Loom's sole discretion, designed to protect its rights and property.

8. Privacy Policy

By using the Website, the Client agrees to be bound and abide by the Privacy Policy and the terms more particularly set forth therein and adopted and incorporated herein. The Website is hosted in Goa, India. Access of the Website from other regions may result in the applicability of laws differing from those of Goa, which govern personal data collection, use, or disclosure. Client’s continued use of the Website and transfer of data to Goa constitutes express consent of Client to the transfer and processing of data in Goa.

Simple Loom does not knowingly accept or solicit information from individuals under the age of 18, and, in accordance with applicable laws, shall delete such information as soon as reasonably practical.
